Terms of Participation

These Terms govern your application for, and participation in, Ethereum Institutional Summit 2026 (the “Event”), hosted by Fracton Ventures Inc. (“Fracton”). By submitting an application or attending the Event, you accept these Terms.

1. Nature of the Event

The Event is an invitation-only summit. Submission of an application does not guarantee admission. Fracton retains sole discretion over the invitee list, in coordination with confirmed co-hosting partners.

2. Applications

Applicants warrant the accuracy of submitted information. Material misrepresentation may result in withdrawal of invitation or removal from the Event without refund where applicable.

3. Conduct

All attendees agree to comply with the Code of Conduct, incorporated by reference into these Terms. Fracton may eject or ban attendees who breach the Code of Conduct or applicable law.

4. Confidentiality / Chatham House Rule

The Day-0 dinner and Closed Roundtable sessions are operated under the Chatham House Rule. Information shared under that rule may be used, but the identity and affiliation of the speaker(s) may not be disclosed.

5. Recording and Photography

  • Sessions may be recorded with explicit opt-in from speakers and participants.
  • Photographs may be taken in common areas; attendees may opt out at registration.
  • Press attendance is by invitation only.

6. Intellectual Property

Speakers retain ownership of their content. Speakers grant Fracton a non-exclusive, royalty-free license to use materials for Event documentation and promotional purposes. Event branding, website, and program structure belong to Fracton.

7. Cancellation and Changes

  • Programs, speakers, and venues may change without notice.
  • Fracton may cancel or postpone the Event; reasonable best efforts will be made to communicate alternatives.
  • Invitations are revocable at Fracton's sole discretion.

8. Limitation of Liability

To the maximum extent permitted by law, Fracton's aggregate liability is limited. Fracton is not liable for indirect, consequential, incidental, or punitive damages arising in connection with the Event.

9. Force Majeure

Performance is excused for events beyond reasonable control, including natural disasters, governmental action, public health emergencies, or infrastructure failures.

10. Governing Law and Disputes

These Terms are governed by the laws of Japan. Any disputes arising in connection with the Event are subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
